Mindrested Terms and Conditions

1. Definitions

• "Content" refers to text, graphics, images, music, software, audio, video, information or other materials.
• "MindRested Content" means all Content that MindRested makes available through the Platform, including any Content licensed from a third party, but excluding Member Content.
• "Member" means a person who completes MindRested's account registration process.
• "Member Content" means all Content that a Member posts, uploads, publishes, submits, transmits, or includes in their profile or MindRested's interactive areas to be made available through the Platform.
• "Therapist" means a licensed mental health professional who provides services through the Platform.

2. The MindRested Platform

MindRested is an online therapy platform designed to provide accessible mental health support to the Moroccan population. Our services include:

• Secure video therapy sessions with licensed Moroccan therapists
• Text-based chat support
• Access to culturally relevant self-care resources
• Educational content related to mental health and well-being
• Matching service to connect Members with suitable Therapists
• Tools for tracking progress and setting mental health goals

MindRested does not provide medical advice, diagnosis, or treatment. The Platform is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

3. Eligibility

To be eligible to use the MindRested Platform, you must meet the following criteria:

• Be at least 18 years old, or have the consent of a parent or legal guardian if you are between 13 and 18 years old.
• Not have been previously suspended or removed from the Platform.
• Not be a convicted sex offender.
• Reside in Morocco or be a Moroccan citizen residing abroad.

By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

4. Registration and Your Information

To access certain features of the Platform, you must register to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

You will immediately notify MindRested of any unauthorized use of your account. MindRested will not be liable for any loss or damage arising from your failure to comply with the above requirements.

5. Payment Terms

MindRested offers various subscription plans and payment options:

• All payments are processed securely through our third-party payment processors.
• Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
• You agree to pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.
• If you dispute any charges you must notify MindRested within thirty (30) days after the date that MindRested charges you.
• We reserve the right to change our fees upon reasonable notice. If you do not accept the fee changes, your sole remedy is to cancel your subscription.

You are solely responsible for all fees associated with connecting to the Platform, including Internet connection fees, telephone fees, and any other fees which you may incur by accessing the Platform.

6. Cancellation and Refund Policy

• You may cancel your subscription at any time through your account settings or by contacting our customer support.
• Cancellation will take effect at the end of your current billing period.
• No refunds or credits will be provided for partial months of service or for periods in which you did not use the Platform.
• You may cancel a scheduled therapy session up to 24 hours before the appointment without charge. Late cancellations or no-shows may result in a charge for the full session fee.
• In exceptional circumstances, refunds for unused portions of a subscription may be considered on a case-by-case basis, at the sole discretion of MindRested.

7. Privacy and Confidentiality

• We collect and process your personal data in accordance with our Privacy Policy and applicable Moroccan data protection laws.
• All communication between you and your therapist is confidential, subject to legal and ethical limitations.
• We implement robust security measures to protect your personal information and session content.
• You agree not to record or share any part of your therapy sessions without explicit consent from your therapist.
• In the event of an emergency or if we believe you or someone else may be in danger, we reserve the right to contact appropriate authorities or emergency contacts.

8. User Responsibilities and Prohibited Conduct

• Provide accurate and truthful information about yourself and your mental health condition.
• Use the Platform in compliance with all applicable laws and regulations.
• Respect the rights and dignity of therapists and other users.
• Not use the Platform for any illegal, harmful, or unauthorized purposes.
• Not attempt to gain unauthorized access to any part of the Platform or its related systems.
• Not interfere with or disrupt the integrity or performance of the Platform or third-party data contained therein.
• Not upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

MindRested reserves the right to investigate and take appropriate legal action against anyone who, in MindRested's sole discretion, violates this provision, including without limitation, removing the offending content from the Platform, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

9. Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by MindRested, its licensors, or other providers of such material and are protected by Moroccan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

• Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

10. Disclaimer of Warranties

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MINDRESTED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MINDRESTED MAKES NO WARRANTY THAT (i) THE PLATFORM WILL MEET YOUR REQUIREMENTS, (ii) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS.

11. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT MINDRESTED SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MINDRESTED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE PLATFORM; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE PLATFORM; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; OR (v) ANY OTHER MATTER RELATING TO THE PLATFORM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless MindRested, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your Member Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

13. Termination

MindRested reserves the right to terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Platform. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Morocco, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Platform, and supersede and replace any prior agreements we might have between us regarding the Platform.

15. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the Moroccan Center for Mediation and Arbitration in accordance with its Arbitration Rules.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.

17. Electronic Communications

When you use the Platform or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

18. Entire Agreement

The Terms constitute the entire agreement between you and MindRested regarding the use of the Platform, superseding any prior agreements between you and MindRested relating to your use of the Platform.

19. Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform ("Feedback"). You may submit Feedback by emailing us at feedback@mindrested.ma. You acknowledge and agree that if you submit any Feedback to us, you hereby grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.

20. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by MindRested without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

21. Force Majeure

MindRested shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

22. Waiver and Severability

No waiver by MindRested of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MindRested to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

23. Therapist-Client Relationship

MindRested does not employ, recommend, endorse, or vouch for any Therapist on the Platform. We do not control or vet the information provided by Therapists, nor do we control the services provided by Therapists. You are solely responsible for selecting a Therapist and for your interactions with any Therapist.

You understand, agree, and acknowledge that MindRested is not a provider of therapy, medical, or other professional services. Any information or advice received from a Therapist comes from them alone, and not from MindRested. Your interactions with Therapists via the Platform are not protected by therapist-client privilege.

24. Emergency Services

MindRested is not a suicide prevention or emergency services provider. If you are experiencing a mental health emergency or are at risk of harming yourself or others, please contact emergency services immediately or go to your nearest emergency room. Do not attempt to access emergency services through the Platform.

25. Age Restrictions and Parental Consent

The Platform is intended for users who are 18 years of age or older. However, we recognize that mental health support may be crucial for younger individuals as well. Users between the ages of 13 and 18 may use the Platform only with the involvement and consent of a parent or legal guardian.

If you are a parent or legal guardian agreeing to these Terms for the benefit of a child between the ages of 13 and 18, you are fully responsible for their use of the Platform, including all financial charges and legal liability that they may incur.

26. Third-Party Links and Content

The Platform may contain links to third-party websites or resources. You acknowledge and agree that MindRested is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by MindRested of such websites or resources or the content, products, or services available from such websites or resources.

27. User Testimonials and Feedback

We may display personal testimonials of satisfied customers on our Platform in addition to other endorsements. With your consent, we may post your testimonial along with your name. If you wish to update or delete your testimonial, you can contact us at testimonials@mindrested.ma.

28. International Use

The Platform is primarily intended for users located in Morocco. If you access the Platform from outside Morocco, you do so at your own risk and are responsible for compliance with local laws. MindRested makes no representation that the Platform or its content are appropriate or available for use in locations outside Morocco.

29. Acknowledgement

BY USING THE SERVICE OR OTHER PLATFORM OWNED OR OPERATED BY MINDRESTED, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU ARE USING THE PLATFORM ON BEHALF OF AN ORGANIZATION, YOU ARE AGREEING TO THESE TERMS FOR THAT ORGANIZATION AND PROMISING TO MINDRESTED THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THESE TERMS (IN WHICH EVENT, "YOU" AND "YOUR" WILL REFER TO THAT ORGANIZATION). YOU MAY NOT ACCESS OR USE THE PLATFORM OR ACCEPT THE TERMS IF YOU ARE NOT AT LEAST 18 YEARS OLD.
